This is a license agreement, not a sale. This CD package or electronically downloaded file (the "Product") is distributed by Rupp Technology Corporation ("RUPP") under a licensing agreement with Victoria Sainte-Claire. The Product is the copyrighted work of RUPP and/or its suppliers, and we continue to own the files and other content provided to you in the Product. This Product is provided under the terms of the following license agreement ("License Agreement") that states what you may and may not do with the Product and contains limitations on warranties and remedies.

"Digital File" means any illustration, photograph, digital animation, video or other visual representation recorded in any digital format that is included in the Product.

RUPP is willing to license this Product to you on the condition that you accept and agree to be bound by all of the terms of this License Agreement. If you do not accept all of these terms, do not use any of the Digital Files on this Product published by RUPP. This Product is protected by copyright law and international treaties. Unauthorized reproduction or distribution of this Product, or any portion of it, may result in severe civil and criminal penalties, and will be prosecuted to the maximum extent possible under the law.

If you are entering into this License Agreement on behalf of your employer, the license granted and restrictions and limitations recited herein apply to your employer as well as to you as a representative of your employer. Should you cease working for your employer, your employer may continue to operate under this License Agreement.

PERMITTED USES
RUPP grants to you, the customer, a non-exclusive license to use this Product under the terms and conditions of this License Agreement. Unless the activity is expressly permitted below, you cannot do it.

You may:

- Allow up to ten specific users to use the Product provided that all 10 users are employed or under contract to the licensee;

- Make modifications or derivative works of any Digital Files ("Derivative Works");

- Use the Digital Files(s) or Derivative Work(s) in any advertising, promotional material, broadcast media (video, television, motion picture), or web site, provided the finished product(s) is/are designed for viewing purposes only and is/are not designed or intended for re-use in any on-line distribution system (including your web page) at a resolution greater than 640X480 pixels (72dpi);

- Provide a temporary copy to others of those Digital Files and Derivative Works which are an integral part of your work product and reasonably required to produce a finished product in the normal course of your work flow;

- Store the Product on a network, storage jukebox or similar device providing that no more than 10 users, in total, have access to the device; and

- Make one copy of the Product for backup or archival purposes.

USAGE RESTRICTIONS
You may:

- Use the CD or the Digital Files on only one computer at any one time;

- Modify, copy, and incorporate the Digital Files in projects that are for advertising, communications, marketing and promotional materials, multimedia projects, video, graphic design projects and general creative works, that you design for yourself or your clients.

PROHIBITED USES
You may not use the Digital Files in any way that is not specifically allowed by this License Agreement. Without limiting the generality of the foregoing, you may not:

- Copy the CD in its entirety or otherwise substantially reproduce the Product;

- Copy any Digital file onto more than one computer at any one time;

- Redistribute or resell any or all of the Digital Files or CD, or modified versions of the Digital Files including but not restricted to, portions of the Digital Files incorporated into other Digital Files, as another image library or as another type of product which is similar to, or competes with, this Product,

- Rent, lease, time-share or sub-license the CD or any of the Digital Files,

- Place any of the Digital Files on a computer network, intranet, internet, computer bulletin board or other form of on-line or internet-accessible service;

- Use the Product for the purpose of creating a product or products for resale, such as greeting cards, poster/prints, T-shirts, or calendars for commercial sales, in which the primary value of the product for sale is the image or Digital file itself. If this type of usage is required, please contact RUPP to arrange for special licensing by calling 1-800-447-9469. The following is a general guideline of usage not authorized without special licensing and the express consent of RUPP:

You may not do anything with this Product that is not expressly permitted. In addition you may not:

- Allow more than 10 specific users to use the Product or install it on more than five individual work stations;

- Use any backup or archival coy for any purpose other than to replace an original copy if it is destroyed or becomes defective;

- Use or permit the use of the Product, or any part thereof, in or in association with fraudulent, embarrassing, insensitive, pornographic, defamatory, immoral, offensive, infringing, or illegal material;

- Use or permit the use of the Product, or any part thereof, as a trademark or service mark, or claim any proprietary rights of any sort in the Product, or any part thereof,

- Sell, sublicense, distribute or otherwise grant rights or make available for use by others all or a portion of the Product or Derivative Work(s) in form or formats designed or intended for re-use of the Digital File(s) or Derivative Work(s), or

- Make some or all of the Product available on your web site as a separate or downloadable reusable file, or disassemble, decompile or "unlock", reverse engineer, translate or otherwise decode the Product for any reason.

RUPP will not be held accountable for any claims resulting from the unauthorized usage of the Digital Files contained in this Product. Furthermore, any usage of the Digital files for pornographic, negative or defamatory purposes may result in legal action by RUPP and/or affected parties.

ALL RIGHTS RESERVED
RUPP is the publisher and exclusive distributor of the Product, and its structure, sequence, organization and code are the valuable trade secrets of RUPP. Copyright also protects the Product content. You must treat the Product just as you would any other copyrighted material, such as a book. Trademarks shall be used in accordance with accepted trademark practice, including identification of trademark owner's name. Trademarks can only be used to identify printed or electronic output produced by the Product. Such use of any trademark does not give you any rights of ownership in that trademark. Except as stated above, this License Agreement does not grant you any intellectual property rights in the Product. Any rights not expressly granted herein are reserved.

TRANSFER
You may not rent, lease, sublicense or lend the Product, or a copy thereof, to another person or legal entity that is not also a licensee. You may, however, transfer all your rights to use the Product to another person or legal entity, provided that (i) you transfer all components of the Product and this License Agreement, including all copies, updates and prior versions, (except work products incorporated into finished products as permitted under this license), to such person or entity, (ii) that you retain no copies, including copies stored on a computer or other storage device, and (iii) the receiving party agrees to be bound by the terms and conditions of this License Agreement.

LIMITED WARRANTY
RUPP warrants to you that for the 90 day period following your receipt of the Product the Product will perform substantially in accordance with the enclosed documentation and, in the case of the CD collection, the media upon which the Product is furnished under normal use will be free from defects in materials and workmanship. This warranty does not apply to Digital File copies or Derivative Works made by you.

Except for the above express limited warranties, the Product is provided to you as is. RUPP makes and you receive no warranties or conditions, express, implied, statutory, or in any communication with you, and RUPP and its suppliers specifically disclaim any and all express warranties not stated here and all implied warranties of merchantability, non-infringement and fitness for a particular purpose. RUPP does not warrant that the operation of this Product will be uninterrupted or error-free, will meet your requirements, or will operate with the combination of hardware and software selected by you.

To make a warranty claim, you must return the Product to RUPP, along with a copy of your sales receipt within such 90 day period. If the Product does not perform substantially in accordance with the documentation, or the media upon which the Product is furnished under normal use is not free from defects in materials and workmanship, the entire and exclusive liability and remedy shall be limited to either, at RUPP's option, the replacement of the Product or the refund of the license fee you paid for the Product and the termination of this License. RUPP and its suppliers do not and cannot warrant the performance or results you may obtain by using the Product. The foregoing states the sole and exclusive remedies for RUPP's or its suppliers' breach of warranty. LIMITATION OF LIABILITY
TO THE EXTENT PERMITTED BY LAW, IN NO EVENT WILL RUPP OR ITS SUPPLIERS BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, INCIDENTAL OR SPECIAL DAMAGES, INCLUDING ANY LOST PROFITS, LOST DATA, LOST SAVINGS, COST OF COVER OR OTHER SPECIAL, INCIDENTAL CONSEQUENTIAL OR INDIRECT DAMAGES ARISING FROM THE USE OF THE PRODUCT HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY. THIS LIMITATION WILL APPLY EVEN IF A RUPP REPRESENTATIVE OR AUTHORIZED DEALER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR FOR ANY CLAIM BY ANY THIRD PARTY. To the extent permitted by law, our maximum aggregate liability to you, and that of our dealers and suppliers, shall not exceed the amount you have paid for the Product. The limitations imposed by this paragraph shall apply whether or not the alleged breach or default is a breach of a fundamental condition or term. Some states or jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.

You acknowledge that the license fee reflects this allocation of risk.

GOVERNING LAW AND GENERAL PROVISIONS
This license will be governed by the laws of the State of Florida. In any dispute arising out of this license, you and RUPP each consent to the exclusive personal jurisdiction and venue in the State and Federal Courts within Miami, Florida. This license will not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded. You agree that the Product will not be shipped, transferred or exported into any country or used in any manner prohibited by the United States Export Administration Act or any other applicable export laws, restrictions or regulations. This license shall automatically terminate upon failure by you to comply with its terms. This License may only be modified in writing signed by an authorized officer of RUPP. This License is the entire agreement held between us and supersedes any other communications or advertising with respect to the software and accompanying documentation.

If any provision of this License is held invalid, void and/or unenforceable, it will not affect the validity of the balance of the License, the remainder of which shall continue in full force and effect according to its terms.
